Terms of Service

These Terms of Service ("Terms") govern your use of the Romer website (getromer.com), the Romer mobile application (the "App"), our eSIM connectivity services, the Romer Intent Engine, and any future platform integrations (collectively, the "Services") provided by Romer ("Romer," "we," "us," or "our").

By creating an account, downloading the App, activating an eSIM, or otherwise using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Romer provides international travel internet connectivity through eSIM technology, built directly into your phone's Control Center. Our Services include:

• eSIM Connectivity: Travel data access in 200+ countries at local prices, activated through a single toggle in your device's Control Center.
• Romer App: A mobile application for iPhone (and future Android support) that manages eSIM profiles, displays destination pricing, and controls connectivity.
• Intent Engine: A platform feature that enables intelligent, context-aware connectivity and future third-party integrations.
• Website: Information, pricing previews, account management, and support resources at getromer.com.
• Platform Integrations: Authorized connections to third-party services via OAuth, including LinkedIn, Google, Meta, Microsoft, HubSpot, and other supported providers.

Service availability, coverage, and pricing vary by destination and are subject to change. Current pricing and destination availability are always displayed within the Romer App.

To use certain Services, you must create a Romer account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Be responsible for all activity that occurs under your account.
• Be at least 16 years of age, or use the Services with the consent of a parent or legal guardian.

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or unlawful activity.

Romer is pay-per-use. After installation and a successful connection test, Romer charges a one-time $1 network verification. No subscription is required. Daily destination service is charged only when Romer is used abroad.

• Payment Processing: Payments are processed securely by Stripe. Romer does not store your full card details.
• Destination Pricing: Daily prices vary by destination and the applicable price is shown in the App.
• One-Time Verification: The $1 verification occurs during onboarding after the permanent Romer connection is installed and successfully tested.
• Daily Service: A service day begins when Romer is successfully activated abroad. Another daily amount may accrue at local midnight while Romer remains active.
• Fair Use: A 500 MB daily high-speed fair-use baseline applies. Destination allowances and speeds may vary.

If you believe you have been charged in error, please contact us at hello@getromer.com within 30 days of the charge.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services for any illegal, fraudulent, or unauthorized purpose.
• Attempt to interfere with, disrupt, or reverse-engineer the App, eSIM profiles, or Romer's systems.
• Resell, redistribute, or share your connectivity with unauthorized third parties.
• Use the Services to transmit malware, spam, or harmful content.
• Engage in excessive or abusive data usage patterns that may degrade service quality for others.
• Bypass or attempt to bypass geographic, technical, or usage restrictions.
• Misrepresent your identity or affiliation with Romer.

Romer connectivity is intended for personal travel use. We reserve the right to apply reasonable usage limits, throttle connections, or suspend service in cases of abuse or excessive consumption that deviates from normal travel usage patterns.

Romer installs a persistent connectivity profile on a compatible device. You receive a non-exclusive, non-transferable, revocable license to use that profile with the Romer service.

The profile and underlying network access are provided through Romer's network partners. Coverage, network availability, allowances and speeds may vary by destination and local operator.

Romer does not require a new profile or advance data-package purchase for every trip. Daily destination service is governed by the price and terms displayed in the App when Romer is used abroad.

The Services, including the App, website, branding, Intent Engine, software, designs, and content, are owned by Romer and are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Services without our prior written consent.

We grant you a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial travel needs, subject to these Terms.

Content you submit to the Services (such as account information or support communications) remains yours. You grant Romer a license to use such content solely as necessary to provide and improve the Services.

The Services may integrate with or contain links to third-party platforms and services, including payment processing (Stripe), analytics, and OAuth-connected accounts (LinkedIn, Google, Meta, Microsoft, HubSpot, and others).

When you connect a third-party account, you do so at your own discretion and subject to the third party's terms and privacy policy. Romer is not responsible for the practices or content of third-party services.

eSIM connectivity relies on local and global network operators. Service quality, coverage, and speed may vary by destination and are subject to the terms and limitations of the applicable network operator.

The Services are provided on an "as is" and "as available" basis. While we strive to deliver reliable connectivity, we do not guarantee uninterrupted, error-free, or secure access at all times or in all locations.

Connectivity may be affected by factors outside our control, including but not limited to:

• Local network coverage and capacity in your destination
• Device compatibility and eSIM support
• Government regulations or network restrictions
• Weather, natural events, or infrastructure outages

We do not warrant that the Services will meet your specific requirements or that all destinations will be available at all times.

To the fullest extent permitted by law, Romer, its officers, directors, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of or inability to use the Services.

Our total aggregate liability for any claims arising from the Services shall not exceed the amount you have paid to Romer in the three (3) months preceding the claim.

This limitation does not apply to liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

You agree to indemnify and hold harmless Romer, its officers, directors, employees, and partners from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your infringement of any third-party rights.

You may deactivate your account or stop using the Services at any time. To request account deletion, contact us at hello@getromer.com.

We may suspend or terminate your access to the Services at any time, without prior notice, if you violate these Terms, engage in fraudulent or abusive activity, or if we are required to do so by law.

Upon termination, your right to use the Services ceases immediately. Any active eSIM profiles or unused data allowances may be voided. Provisions of these Terms that by their nature should survive termination shall remain in effect.

We may update these Terms from time to time. When we make material changes, we will notify you through the App, via email, or by posting a prominent notice on our website. The "Effective Date" at the top of these Terms indicates the date of the most recent revision.

Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Services.

These Terms are governed by and construed in accordance with the laws applicable in the jurisdiction where Romer is established, without regard to conflict of law principles.

Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiations. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction, as permitted by applicable law.

Nothing in these Terms limits any rights you may have as a consumer under mandatory consumer protection laws in your jurisdiction.
